These Terms & Conditions (“Terms”) govern your access to and use of:

• the website at jaspartech.com (the “Website”); and
• any mobile or web application developed, owned, or operated by Jaspar Technologies (“Jaspar Technologies,” “we,” “us,” or “our”) that links to these Terms, whether distributed via the Apple App Store, the Google Play Store, or otherwise (each, an “App,” and collectively, the “Apps”).

The Website and the Apps are referred to together as the “Services.” This is a single, unified set of Terms intended to apply consistently across all current and future Apps published under the Jaspar Technologies developer accounts, unless a specific App provides its own supplementary terms. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services and to create an account. By using the Services, you represent that you meet this requirement. If a specific App is intended for a different age group, that will be stated in the App’s store listing and in-app disclosures, along with any additional safeguards required.

2. Accounts

• You are responsible for maintaining the confidentiality of your login credentials and any device-level authentication (fingerprint, face unlock, or PIN) used to secure an App.
• You are responsible for all activity that occurs under your account.
• You agree to provide accurate information when creating an account and to keep it up to date.
• You must notify us promptly at info@jaspartech.com if you become aware of any unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms, subject to Section 11.

3. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable law or regulation
• Upload content that infringes on the rights of others, or that you do not have the right to share (for example, another person’s health or financial records, except where you are their authorized caregiver, guardian, or representative)
• Attempt to reverse-engineer, decompile, or tamper with the Services or their underlying systems
• Introduce malware, spam, or other harmful code through the Services
• Attempt to gain unauthorized access to other users’ accounts or data
• Use automated means (bots, scrapers) to access or interact with the Services without our written permission
• Interfere with or disrupt the integrity or performance of the Services

4. Your Content

“Your Content” means any documents, images, records, notes, messages, or other data you submit or upload through the Services.

• You retain ownership of Your Content.
• You grant Jaspar Technologies a limited, non-exclusive, royalty-free, worldwide license to host, store, process, transmit, and display Your Content solely for the purpose of operating and providing the Services to you (for example, syncing your data across sessions or devices).
• You are solely responsible for the accuracy, legality, and appropriateness of Your Content.
• We do not review, verify, or endorse the accuracy of any content you submit.

5. Intellectual Property

The Services — including their design, features, logos, trademarks, and underlying software (excluding Your Content) — are the property of Jaspar Technologies, its affiliates, or its licensors, and are protected by applicable intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or create derivative works based on the Services without our prior written consent.

6. No Professional Advice

Unless an App explicitly states otherwise, our Apps are provided as general tools for organizing, storing, or managing information (such as personal, financial, or health-related records) and do not constitute professional medical, financial, legal, or other expert advice. Always consult a qualified professional regarding decisions in these areas. Do not rely on any App in an emergency; contact local emergency services immediately if needed.

7. Third-Party Services and Links

The Services may link to or integrate with third-party websites, tools, or services. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is at your own risk and subject to their own terms.

8. Service Availability

We aim to keep the Services available and functioning correctly but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JASPAR TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Termination and Account Deletion

• You may stop using the Services and request deletion of your account at any time (see our Privacy Policy, Section 6, for how to request deletion).
• We may suspend or terminate your access if you violate these Terms, engage in fraudulent or harmful conduct, or as otherwise permitted by law, with notice where practicable.
• Upon termination, your right to use the Services ceases immediately, though provisions of these Terms that by their nature should survive (e.g., ownership, disclaimers, limitation of liability, indemnification) will continue to apply.

12. Indemnification

You agree to indemnify and hold harmless Jaspar Technologies, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Services, or infringement of any third party’s rights through Your Content.

13. Apple App Store Additional Terms

If you access an App through the Apple App Store, the following additional terms apply and take precedence over any conflicting terms in this document with respect to that App:

• These Terms are between you and Jaspar Technologies only, and not with Apple Inc. (“Apple”). Jaspar Technologies, not Apple, is solely responsible for the App and its content.
• The license granted to you is a limited, non-transferable, non-exclusive license to use the App on Apple-branded devices that you own or control, as permitted by the App Store’s Usage Rules.
• Apple has no obligation to provide any maintenance or support services for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims by you or any third party relating to the App, including but not limited to product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• In the event of any third-party claim that the App infringes intellectual property rights, Jaspar Technologies, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• You must comply with any applicable third-party terms (e.g., your wireless data service agreement) when using the App.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

14. Google Play Additional Terms

If you access an App through the Google Play Store, your use is also subject to Google Play’s Terms of Service. You acknowledge that Google is not responsible for the App or its content, and any claims relating to the App are addressed solely to Jaspar Technologies, not Google, except as required by applicable law.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, features, or applicable law. We will update the “Last updated” date above when changes are made, and where changes are material, we will provide additional notice where appropriate. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Seminole County, Florida, unless applicable consumer protection law in your jurisdiction requires otherwise.
